Welcome to Celerlinks ("we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Service") operated by Celerlinks by Magnital.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

Celerlinks is a digital platform that provides bill payment services, including but not limited to:

• Airtime top-up for mobile networks
• Data subscription services
• Cable TV subscription payments
• Electricity bill payments
• Bulk SMS services
• Other financial and utility services as may be added from time to time

3. Account Registration and Eligibility

3.1 Eligibility

To use our Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into binding agreements
• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.

4. Use of Service

4.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

5. Payments and Transactions

We accept various payment methods, including debit cards, credit cards, bank transfers, and USSD. All payments must be made in Nigerian Naira (NGN) unless otherwise specified.

5.2 Transaction Processing

Transactions are processed immediately upon confirmation. Once a transaction is completed, it cannot be reversed except in cases of technical errors or as required by law. You are responsible for ensuring the accuracy of all transaction details before confirmation.

5.3 Fees and Charges

Our service fees are clearly displayed before you confirm any transaction. All fees are non-refundable unless required by law or in cases of service failure on our part. We reserve the right to modify our fees at any time, with notice to users.

5.4 Refunds

Refunds may be issued in the following circumstances:

• Technical errors on our part that prevent service delivery
• Duplicate transactions due to system errors
• As required by applicable laws or regulations

Refund requests must be submitted within 7 days of the transaction date. Refunds will be processed to the original payment method within 5-10 business days.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Celerlinks by Magnital and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not modify, reproduce, distribute, create derivative works, publicly display, or commercially exploit any content from the Service without our express written permission.

7. Third-Party Services

Our Service may integrate with third-party services, including payment processors, telecommunications providers, and utility companies. We are not responsible for the availability, accuracy, or reliability of third-party services. Your interactions with third-party services are subject to their respective terms and conditions.

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CELERLINKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Celerlinks, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms

• Any content you submit or transmit through the Service

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act of Nigeria, or through the competent courts of Nigeria.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between you and Celerlinks regarding our Service.
